1. Acceptance of terms

By accessing or using CarWhere ("the Site"), operated at www.carwhere.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site. We may update these Terms from time to time, and your continued use constitutes acceptance of the revised Terms.

2. Description of service

CarWhere is a car pricing transparency platform that provides verified buyer transaction data, deal analysis tools, manufacturer incentive information, pricing calculators, and educational content to help consumers make informed vehicle purchasing decisions. Our services include free tools and paid subscription features (CarWhere Pro).

3. User accounts

Some features require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must provide accurate information when creating an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Deal submissions

When you submit deal information (vehicle details, pricing, dealer quotes, buyer's orders), you grant CarWhere a non-exclusive, royalty-free, perpetual, worldwide license to use, display, and distribute this information in anonymized form on our platform. You represent that:

• The deal information you submit is accurate to the best of your knowledge
• You have the right to share this information
• The submission does not contain confidential information belonging to a third party that you are not authorized to share
• You will not submit fabricated, misleading, or fraudulent deal information

We reserve the right to review, edit, or remove any submitted deal at our discretion. Deal submissions are displayed anonymously — we do not publicly associate your name or identity with submitted deals.

5. Subscriptions and payments

CarWhere Pro is a paid subscription service. By subscribing, you agree to pay the applicable fees. Payments are processed securely by Stripe. Subscriptions renew automatically unless cancelled before the renewal date.

• Billing: You will be billed at the start of each billing period (monthly or annual)
• Cancellation: You may cancel your subscription at any time. Access continues through the end of the current billing period
• Refunds: We may offer refunds at our discretion on a case-by-case basis. Contact us if you believe a refund is warranted
• Price changes: We may change subscription prices with 30 days' notice. Existing subscribers will be notified by email

6. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose
• Submit false, misleading, or fraudulent information
• Scrape, crawl, or use automated tools to extract data from the Site without written permission
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Site's functionality
• Reproduce, redistribute, or resell our data, tools, or content without permission
• Use the Site to harass, abuse, or harm others

7. Intellectual property

All content on the Site — including text, graphics, logos, icons, images, data compilations, software, and analysis tools — is the property of CarWhere or its content suppliers and is protected by copyright and intellectual property laws. The CarWhere name, logo, CarWhere Index, and DealDrive are trademarks of CarWhere. You may not use our trademarks without prior written consent.

8. Disclaimer of warranties

The Site and all information, content, and tools are provided "as is" and "as available" without warranties of any kind, either express or implied. CarWhere does not warrant that:

• The information on the Site is complete, accurate, or current
• The Site will be uninterrupted or error-free
• Deal data reflects the exact price you will pay at a dealership
• Manufacturer incentive information is current or available in your region

Vehicle pricing, incentives, and dealer fees change frequently. The data on our Site is based on user-submitted transactions and third-party sources. Always verify pricing directly with the dealer before making a purchase decision.

9. Limitation of liability

To the maximum extent permitted by law, CarWhere and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including but not limited to: loss of profits, data, or goodwill; reliance on pricing information; or any vehicle purchase decision made based on information from our platform. Our total liability for any claim shall not exceed the amount you paid to CarWhere in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless CarWhere from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your infringement of any third-party rights.

11. Third-party links and services

The Site may contain links to third-party websites and services (including dealer websites, manufacturer sites, and financial calculators). We are not responsible for the content, accuracy, or practices of third-party sites. Links do not imply endorsement.

12. Termination

We may terminate or suspend your access to the Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.
